Our objective is to analyse clients' transactions from a long-term prospective, placing such transactions in the integral context of commercial law, thus hedging the risks related to the performance of such transactions.

  • Successfully advising Paldiski Northern Port in various Estonian governmental institutions relating to the establishment of the Paldiski Free Economic Zone.
  • Advising the Energy Ministry of the Republic of Lithuania on highly complex corporate legal issues connected to the restructuring and intended liquidation of the national energy company, LEO LT.
  • Advising the major Lithuanian energy company, AB Lietuvos energija, on corporate legal issues in connection with the implementation of the newly adopted laws and 2nd EU energy package.
  • Advising the Swedish East Capital Fund on corporate legal issues.
  • Advising K.W. Bruun, one of the largest vehicle distributors in Scandinavia, on setting up a Peugeot vehicle distribution network in Estonia.
  • Representing investment funds and private investors in converting loans (issued to risk capital fund GILD Arbitrage) into bonds in a closed emission, in the course of which a supervisory mechanism was set up to monitor fund activities and the assets of the fund were pledged to secure the bonds in favour of the securing agent.
  • Advising on the corporate restructuring of Kodumaja Group, one of the largest producers of prefabricated modular room sections in Scandinavia and the Baltics.
  • Advising a global pharmaceutical company on its corporate structure in Estonia.
  • Advising Transiidikeskuse AS, parent company of Transiidikeskuse Group, which operates the largest container terminal in Estonia on the sale of its majority shareholding in DBT, a dry bulk terminal operated in partnership with the Akron Group.
  • Representing a management board member in a landmark business prohibition case. The Supreme Court annulled the prohibition on business applied by lower courts and gave a profound explanation to the partial amendments of its former postures on the presumptions, extent and requirements of applying business prohibition and detailed guidelines to be followed in all future cases.
  • Advising the shareholder of an Estonian foodstuff group AS Pere Leib in a landmark dispute regarding an unlawful merger with AS Cibus carried out by the managing body with the attempt to take control of the company in absentia. The firm enforced the claim for the compensation of damage before the Supreme Court. The decision has a significant impact on the investment environment in Estonia.
